Terms of Service

These Terms govern access to and use of Woylie. By creating an account or using the service you agree to them.
1. The service
Woylie Pty Ltd (ABN 16 701 504 323) provides the Woylie service for trade businesses, including trial access and subscription plans described at signup and on pricing surfaces. Features may evolve; we do not promise uninterrupted availability or that every feature will remain unchanged.
2. Eligibility and accounts
You must be able to enter a binding business agreement. You are responsible for the accuracy of information you provide, for activity under your workspace, and for keeping sign-in credentials secure. Do not attempt to access another organisation’s data.
3. Trials, subscriptions and GST
The subscription plan, billing period, fees, inclusions and any trial or promotional terms that apply to you are those displayed when you subscribe or otherwise agree to the order. Woylie Pty Ltd is registered for GST. Prices displayed to Australian customers include GST unless clearly stated otherwise. Paid plans are billed in Australian dollars. When Stripe is configured, subscription management (including cancellation) is available through the billing portal. When Stripe is not configured, paid checkout is unavailable and trial/product access continues under the configured entitlement rules.
Refunds, if any, are assessed case by case unless a separate written schedule applies. Nothing in these Terms excludes non-excludable rights under the Australian Consumer Law.
4. Customer data
You retain ownership of content you submit to Woylie. You grant us a limited licence to host, process and display that content solely to operate the service for your organisation, including backups and security. You warrant that you have the rights needed to submit client, staff and project information.
5. AI-generated suggestions
AI features produce drafts and suggestions only. They are not professional advice. You must review and approve AI output before sending it to clients or relying on it operationally. We do not warrant accuracy, completeness or fitness of AI output.
6. Staff time and location
Organisations using Site features are responsible for informing workers about collection of time, attendance and optional location data, and for complying with workplace and privacy obligations. Workers should only share location when prompted and when they choose to. Do not use Woylie for covert surveillance.
7. Acceptable use
You must comply with our Acceptable Use Policy.
8. Third-party integrations
Optional integrations (for example payments or accounting connectors when enabled) are subject to the third party’s terms. We are not responsible for outages or acts of those providers beyond our reasonable control.
9. Intellectual property
Woylie software, branding and documentation remain our intellectual property (or our licensors’). These Terms do not transfer ownership of the platform to you.
10. Availability, suspension and termination
We may suspend or terminate access for non-payment (when billing is active), security risk, Acceptable Use breaches, or prolonged inactivity after notice where practical. You may stop using the service at any time. Upon termination, access to the workspace ends subject to any export assistance we reasonably offer and legal retention needs.
11. Australian Consumer Law
If you are a consumer or small business protected by the Australian Consumer Law, nothing in these Terms excludes, restricts or modifies rights that cannot lawfully be excluded. Where our liability can be limited, it is limited to resupplying the services or paying the cost of resupply, to the extent permitted by law.
12. Liability
To the extent permitted by law, we are not liable for indirect, incidental or consequential loss, loss of profits, or loss of data arising from use of the service, except where liability cannot be limited. Our aggregate liability for claims relating to the service in any 12-month period is limited to the fees you paid us for that period (or AUD $100 if you are on a free trial and paid nothing), except for liability that cannot be limited by law.
13. Disputes
Please contact michael@woylieapp.com first to resolve concerns. These Terms are governed by the laws of Western Australia, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia and courts entitled to hear appeals from them. Nothing in this clause limits any non-excludable rights or remedies under the Australian Consumer Law or any other applicable law.
14. Changes
We may update these Terms by posting a revised version with an updated date. Continued use after the effective date constitutes acceptance of the revised Terms, except where acceptance must be obtained separately by law.
